POLICE SUPPORTERS ASSOCIATION OF LITHUANIA

 

 

STATUTES

 

 

I.                   GENERAL PROVISIONS

 

1. Lithuanian Police Supporters Association (hereinafter - the Association) is a limited liability

public entity with a legal form - Association.

2. The activities of the Association period - unlimited.

3. The Association's financial year - 12 calendar months period, this begins on January the 1st and ends on December the 31st.

4. The name of the Association may be used in abbreviated form - LiPRA.

5. The Association has its own seal, an account with a credit institution and the logo, also may have other symbols and a website.

6. The Association operates in all the territory of the Republic of Lithuania.

7. The Association operates in accordance with the Constitution of the Republic of Lithuania, the Civil Code of Republic of Lithuania, and Law on Associations of the Republic of Lithuania and other legislation and acts on their own Statutes.

8. The Association is independent of the State authorities and political parties.

9. The Association may be a member of other associations and public organizations.

 

II.                THE OBJECTIVES, AREAS AND CATEGORIES OF THE ACTIVITIES OF THE ASOCIATION

 

10. The operational objectives of the Association are to:

10.1.  coordinate the activities of its members;
10.2.  represent Association’s members and protect their interests;
10.3.  raise the prestige of the Lithuanian police supporters, to cherish their traditions;
10.4.  popularize Lithuanian police sponsored activities, form a positive attitude;
10.5.  encourage voluntary Lithuanian police sponsored activities;
10.6.  cooperate with other Lithuanian and foreign organizations working in a similar field and exchange of best practices;
10.7.  meet other public interests.

11. The principles of the Association activities are:
11.1. volunteerism – to join the organization and withdraw with free will;
11.2. democracy - all decisions are made collegially, based on the opinion of the majority;
11.3. tolerance - an opportunity to express the opposite opinion, and respect their beliefs;
11.4. transparency and openness - the organization is open to the public, ensure their actions and decisions are taken transparently;
11.5. unity - the organization is supported by its members, defends their rights and legitimate interests, the members of the Association foster and strengthen the organization.

12. In pursuing its objectives, the Association shall have the right:
12.1. represent the members of the Association and protect the rights and the legitimate interests of members of the Association according to the Laws in all State and local governmental institutions, public, non-governmental organizations, and the court of the Republic of Lithuania;
12.2. according to the Laws to obtain the information necessary for their work activities, economic and social issues from the State, municipal institutions, different organizations;
12.3. submit proposals to the State authorities for police sponsored legislation or improvement;
12.4. conclude cooperation agreements with the State or local government agencies, various organizations and other social partners;
12.5. According to the legal procedure of the Republic of Lithuania, to hold meetings, organize rallies, demonstrations and other peaceful mass gatherings;
12.6. to inform the public about its activities;
12.7. to hire physical and legal persons to carry out statutory activities;
12.8. to establish branches of the Association;
12.9. to realize other rights under the Laws of Republic of Lithuania.

13. In furtherance of its purposes, the Association is engaged in the fields and categories of the activities:

The Association shall have the right to carry out lawful economic, commercial activities, which are compatible with the law and these Statutes and operational purposes and is necessary to achieve its objectives.

14. The Association is a non-profit organization, its profit can only be used for its performance objectives set in the Statutes, and must not be distributed to the founders and (or) activity participants.

 

 

 

III. MEMBERSHIP, RIGHTS AND RESPONSIBILITIES IN THE ASSOCIATION

 

15. The Association may have true members and associate members.

16. True members may be the police supporters and young police supporters, by submitting an application to join the Association, being committed to the statutory requirements (with the exception of young police supporters) and having paid a fixed entrance fee under the procedure of members’ Convocation.

17. Associate members may be 18 years of age capable legal persons, who have submitted an application to join the Association and being committed to the statutory requirements and having paid a fixed entrance fee under the procedure of members’ Convocation. Associate members do not have voting rights at the members’ Convocation. Legal entities may also be associate members.

18. Those who wish to join the association are to:

18.1. submit an application to join the Association to the Board of the Association;

18.2. pay a fixed membership fee (or entrance fee, if applicable).

19. The member of the Association is granted the membership certificate of the set form.

20. The rights of the Association members:

20.1. attend and vote at Convocation of the Association;

20.2. elect and be elected to the governing bodies;

20.3. Association members have access to a list of other documents of the Association and all the available information on activities of the Association;

20.4. use the services provided by the Association;

20.5. apply to all the governing bodies making requests, proposals for performance improvement of  the Association;

20.6. support the activities of the Association targeted contributions;

20.7. withdraw from the Association;

20.8. realize the other rights of a member of the Association under  the Republic of Lithuania legislation.

21. The obligations of the Association members:

21.1. actively participate in the activities of the Association, protect an honor of member, not to diminish the authority, not to perform the activities contrary to the objectives of the Association;

21.2. carry out the decisions of the Convocation of the Association and the Association Board;

21.3. participate in the Convocations of the Association and other activities of the Association;

21.4. timely pay the fixed membership fee;

21.5. prudent and rational use of funds and assets of the Association;

21.6. to comply with the Statute  of the Association.

22.  Membership in the Association shall be terminated:

22.1. if the members have expressed their desire to leave the Association by the submitted to the Association Board and following the decision of the Association Board;

22.2. under the decision of the Association Board:

22.2.1. if the members fail to comply with the Statute of the Association or fail to fulfill decisions of the management bodies, their activities are contrary to the objectives of the Association or otherwise discriminate the Association;

22.2.2. if the members fail to pay the fixed membership fee for more than 45 calendar days from

fee payment deadline;

22.2.3. death of the member of the Association.

23. In case when a person loses the status of a member of the Association, the membership, entrance fees or the funds and assets given to the Association or otherwise ownership are not refundable.

24. After membership in the Association termination, members shall not be exempt from the obligations arising from the Statutes and contracts concluded with the Association until full payment transactions and decisions are taken into execution.

25. Decision of the Association Board on the termination of membership shall be not later than one month from the date of the decision making (under the request of the Association Chairman of the Board) and may be appealed to the Association’s Convocation , which can restore the membership of the Association. Such a decision must be adopted by a simple majority of the Convocation when more than 1/2 of the members of the Association take part.

 

IV. ASSOCIATION BODIES

 

26. The bodies of the Association:

26.1. Association Convocation  - the highest governing body;

26.2. Association Board - a collegial body;

26.3. Head of the Association (President) - the sole governing body;

26.4. Auditor.

27.  Association members’ Convocation is ordinary and extraordinary.

27.1. Ordinary members’ Convocation will be convened by the Board once a year, not later than 4 months after the financial year end. Each member shall be notified on convening Convocation no later than 20 days before the date of the Convocation in accordance with paragraphs 56 of the Statute of the Association.

27.2. Association’s extraordinary Convocation shall be convened:

27.2.1. under the decision of the Board of the Association;

27.2.2. under the requirement of actual members of the initiative group of the Association, composed of at least 1/5 of the members;

27.2.3. under the court decision, if the Association Convocation  is not convened in accordance with the procedure laid down in the Statute of the Association and the member of the Association or the governing body has applied to the court;

28. The general Convocation of the Association:

28.1. changes the Statute of the Association;

28.2. decides on the reorganization or close of the Association (reorganization or liquidation);

28.3. identifies the main activities of the Association;

28.4. determines the number and competence of the members of the Association Board and the Auditor;

28.5. elects members of the Association Board, the Auditor;

28.6. decides on withdrawal or resignation of the Association Board members;

28.7. evaluates the activities of the Board of the Association and the Auditor and approves reports on their activities;

28.8. approves the annual financial Statements;

28.9. confirms or determines the new membership fee of the Association;

28.10. decides on the membership joining fee size, confirms or re-establishes it;

28.11. solves other issues, if they are not assigned according to the competence of other bodies of the Association and if this is not the functions of the governing body in essence.

29. Members of the Association having received the notice on the Convocation  of the Association to be convened and wishing, that their question would be added on the agenda, must submit their proposal to the Association Board no later than 7 days before the scheduled date of the Convocation.

30. All members of the Association Convocation have decisive vote (excluding the associate

members), one member shall have one vote. Decisions are taken by open voting unless the Convocation of the Association decides otherwise.

31. Association Convocation may take decisions, if it is attended by more 1/2 of members of the Association. Decisions shall be taken by at least 2/3 of the participating members of the Association, in these cases as to change the articles, office, transform of the Association, reorganize or liquidate the Association. Persons who have abstained from voting are considered non-present during the voting.

32. If there is no quorum of the Convocation of the Association, Convocation shall be re-convened after a month, which shall have the right to take decisions on the agenda of the previous Convocation items, no matter the number of the Association members participated in the Convocation.

33. The decisions of the Association Convocation are binding on the Association Board, the Auditor and all members of the Association.

34. Association Board is elected at the Convocation of the Association by simple majority for the three-year term. The Association Board consists of 5 members. Association Board shall take decisions under the Statutes of the Association, their competences and powers.

35. The Association Board:

35.1. elects the head - President (who is also the Chairman of the Board) of the Association among elected members of the Board of the Association at the Association Convocation for three years term. Under the provision of the president the Board shall elect a deputy head of the Association - Vice President and Secretary of the Association Board;

35.2. is responsible for the rational use of funds and property of the Association;

35.3. determines the maximum monthly cash limit, which the Chairman of the Association Board (in his absence – substitute person) may dispose on his own, without the decision of the Association Board, at least once per quarter by submitting a report to the Association Board;

35.4. decides on issues about new members and termination of membership in the Association;

35.5. publishes information on the activities of the Association in the Internet website of the Association (if it is open) and the media, is responsible for the content of the information;

35.6. decides on issues on the Association’s office (headquarters), change of the branches of the Association offices;

35.7. prepares the agendas for Convocations of the Association, notifies the members of the Association about the agenda, Convocation  date and place and solves other issues of organizing Convocation;

35.8. composes the budget of the Association, approves the expenditure estimates;

35.9. decides on the establishment of branches or termination of their activities, approves Regulations of the branches;

35.10. prepares proposals for improving the activities of the Association;

35.11. approves the membership forms, the membership certificate forms, other associations

symbolism;

35.12. solves other matters within its province.

36. Meetings of the Association Board are valid if attended by more than 1/2 of the members. Decisions are taken by open voting, simple majority, in case of a tied vote, the decisions are determined by voice of the Chairman of the Association Board.

37. The Association Board meetings are as needed, but not less than once per quarter, organized by the Chairman of the Association Board. The right of initiative to convene the meeting of the Association Board has each member of the Board. In the light of the issues discussed, the Association Board meetings may be called by others.

38. Each member of the Board may resign before the end of his tenure within 15 days after having written notice to the Chairman of the Board of the Association. The Association Board or its member (s) withdrawal may initiate at least 2/3 of the members of the Association, providing written motives and arguments of retirement to the Board of the Association President. As to the question on the Association Board (its member, members) cancellation or resignation, the Convocation of the Association is convened.

39. Head - President of the Association leads the activities of the Association Board and ensures the Association's objectives, according to the Association Statutes. President of the Association is elected during the first Board meeting after the election of members of the Board of the Association on the Association's Convocation. The decision shall be by open voting, majority vote.

40. The President of the Association:

40.1. organizes and directs the activities of the Association, the Board, arranges the execution of the Association Board decisions;

40.2. provides the candidates of the Vice President and Secretary of the Association Board to the Association Board;

40.3. under the approval of the Association Board, employs and dismisses employees of the Association, makes employment contracts, approves their job descriptions;

40.4. under the approval of the Association Board on behalf of the Association makes the  transactions with individuals and legal persons for the purchases of services, the provision of other transactions, the cooperation agreement to meet the objectives of the Association;

40.5. represents (or may authorize the Association to represent another member of the Board or the Association) the Association in all State and local government authorities, civic, non-governmental organizations, and the Court of the Republic of Lithuania. The question of the representation of the Association abroad is dealt every time separately with at the Association Board meeting;

40.6. has the right, within its competence to give written and oral instructions to the members of the Association Board or the Association;

40.7. prepares and submits to the Association Convocation the activities report of the Association Board;

40.8. is responsible for the rational use of funds and property of the Association;

40.9. solves other issues within legislation and the competence.

41. The Association President shall be entitled to resign from office, upon notification the Association Board members and organizing meeting of the Association Board. At least 2/3 of the members of the Association Board can initiate the cancellation of the Association President. President of the Association revoked or his resignation is accepted, under the vote of not less than 2/3 of the members of the Association Board, and he remains as a member of the Association Board.

42. The mandate of the Association President shall expire after the election of a new head of the Association. After completion of a term of office the Association President shall forward seal, documents, funds and other material values of the Association ​​ to a new head of the Association by executing an acceptance certificate, signed by the Association Auditor.

43. When the Association President is unable to perform the duties of management functions for important reasons, they are performed by the Association Vice-president.

44. Association Auditor is appointed during Convocation of the Association for a term of 3 years.

Auditor of the Association cannot be President of the Association or the Association Board.

45. The Auditor of the Association is to:

45.1. control the property and the use of funds of the Association;

45.2. at least once per six months inspect the Association's financial Statements and other

accounting and financial records;

45.3. inform the Association Board on any violations found during inspections, if any, as well as inspect reports provided to the next Association members Convocation;

45.4. The Auditor of the Association under the laws of the Republic of Lithuania shall be held liable for the Association operational flaws concealed, if such were identified and publicized.

45. Accounting and financial records and Statements of the Association are prepared and approved by the legislative procedure of the Lithuanian Republic.

46. ​​All Convocations of the Association, the Board meetings are minuted. Protocols are to be signed by the chairperson and secretary of the Convocation.

 

 

V. ASSETS AND FUNDS OF THE ASSOCIATION

 

47. The Association buys or otherwise acquires the assets for their activities; use, manage and dispose them on the property or any other rights. Association property is separated from the members of the Association's assets. The Association funds shall consist of the membership fees, initial contributions, targeted contributions and other legally received funds and income.

48. The membership fee shall be paid annually in the months of September - December for the next year. Member fee may be changed; it is approved annually or reset by the Convocation of the Association, stating the annual financial Statements of the Association. Entrance contribution is equivalent to the first year of membership fee.

49. The membership fee can be paid in cash to the Association Board Secretary, bank transfer,

also scanned and transferred to the Association's bank account by direct debit. When a member

fee is paid into a bank account, the fee established by the bank for the funds credited to the account is also paid. On the Association Convocation, stating the annual financial Statements payment order can be changed and replaced other payment arrangements.

50. According to the decision of the Association Convocation joining contribution, its amount and payment procedures of the Association may be established. If this contribution size is determined, it may be changed, i.e. it is annually confirmed or reset by the Association Convocation, which approves the annual financial reports.

51. The Association may be beneficiary. The Association can receive support from the Republic of Lithuania and associations operating overseas, trade unions, government and community organizations, enterprises, institutions, foundations and individuals, if not prohibited by the Laws of the Republic of Lithuania.

52. The Association can be a donor of aid, as well as charity provider.

53. The Association is allowed to transfer the managed assets and funds on the property or any other rights, ensure its obligations or otherwise restrict their management, use and disposal rights only in the case, when the Association’s objectives are to be achieved. Even the purposes specified in this paragraph are subject to operating restrictions of the Association in accordance with the Republic of Lithuanian Law on Association.

54. The association is responsible for its obligations only of its property and funds. The Association shall not be liable for obligations of its members, and the members of the Association shall not be liable for the obligations.

 

VI. REPORTS AND ANNOUNCEMENTS OF THE ASSOCIATION

 

55. When some announcements of the Association have to be published publicly, they are published in the electronic publication of the Centre of Registers “Legal Entities Public Announcements” and the Association's website (if established).

56. The Association bodies reports, other necessary information are sent to the Association members by e-mail or mail.

57. each member of the Association shall have access to all the documents adopted by the Association and their projects, lists and other information about the activities of the Association, at the Association's office (at headquarters), as well as the Association's branches.

58. The order on representation of documents and other information about the activities of the Association to its members shall be approved by the Association Board. Association documents, copies or other information are provided to members free of charge.

 

 

VII. ESTABLISHMENT AND CLOSURE OF THE BRANCHES

 

59. The Association branch is an established by the territorial principle structural division of the Association, which has its registered office and activity based on the regulations of the Association Board. The branches are not legal entities. Branches are established and their activities are terminated by the decisions of the Association Board. Branches number is unlimited.

 

XIII. RESTRUCTURIATION AND THE END OF THE ASSOCIATION

 

60. If less than 3 members have remained in the Association, the Association shall notify the Register of Legal Entities within 30 days on such a decline in members.

61. Association is then restructured or terminated (reorganized or liquidated) under the Civil Code procedure of the Republic of Lithuania.

Lithuanian police supporters association, founded in 2013, is a limited liability public entity. We are the organization that seeks to create a safe environment that promotes engage in an active social life, believing that volunteering can change lives. Our goal - SAFER ENVIRONMENT - BEAUTIFUL LITHUANIA.
 
Our objectives are:

- To coordinate the activities of the Association members;
- To represent the interests of the members of the Association and to defend them;
- Raise the prestige of the Lithuanian police supporters, cherish traditions;
- To promote the Lithuanian police sponsored activities, to form a positive attitude;
- Encourage voluntary Lithuanian police sponsored activities;
- Cooperate with other Lithuanian and foreign organizations working in a similar field and exchange of best practices.

 
Our principles:

- Voluntary nature - joining and withdrawing the organization under free will;
- Democracy - all decisions are made collegially, based on the opinion of the majority;
- Tolerance - an opportunity to express the opposite opinion, and respect other beliefs;
- Transparency and openness - the organization is open to the public, ensure their actions and decisions taken by the publicity;
- Unity - the organization is supported by its members, defends their rights and legitimate interests, the members of the Association foster and strengthen the organization.
